1. About Juryvant
Juryvant provides an AI-powered legal research and knowledge platform designed for law firms, legal teams, and legal professionals. The platform is intended to support legal research workflows, information retrieval, internal knowledge access, and related operational needs within a controlled environment.
Juryvant is a software and technology provider. It is not a law firm, does not provide legal representation, and does not act as your attorney.
2. Eligibility
You may use the Services only if you are legally capable of entering into a binding agreement and are authorized to do so on behalf of yourself or the organization you represent.
If you are using the Services on behalf of a company, law firm, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Use of the Services
Subject to these Terms and any applicable subscription or service agreement, Juryvant grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
You agree to use the Services only in compliance with applicable laws, regulations, professional obligations, and these Terms.
4. No Legal Advice
Juryvant provides software tools intended to assist legal professionals. The Services do not constitute legal advice, legal opinion, legal representation, or any substitute for independent professional judgment.
Any output, response, analysis, search result, or information generated or retrieved through the Services is provided for informational and workflow support purposes only. Users remain solely responsible for reviewing, verifying, interpreting, and relying on any such output.
Final legal analysis, strategy, interpretation, filing decisions, and professional responsibility remain entirely with the attorney or legal professional using the Services.
5. Professional Responsibility
You are solely responsible for determining whether your use of the Services is consistent with your legal, ethical, regulatory, contractual, and professional obligations, including duties related to confidentiality, attorney-client privilege, supervision, competence, and data governance.
Juryvant does not guarantee that use of the Services will satisfy any specific legal or professional responsibility requirements unless expressly agreed in writing.
6. Accounts and Access
To access certain features of the Services, you may be required to create an account or receive authorized credentials.
You agree to:
- provide accurate and current information
- maintain the confidentiality of your login credentials
- restrict access to authorized users only
- notify us promptly of any unauthorized access or suspected security issue
- remain responsible for all activity occurring under your account or organization access, except to the extent caused by our own misconduct
We reserve the right to suspend or restrict access where necessary to protect the Services, users, systems, or rights of Juryvant.
7. Customer Data
You may submit, upload, connect, store, or otherwise make available documents, content, prompts, queries, materials, and other information through the Services (“Customer Data”).
You retain ownership of your Customer Data, subject to the rights you grant us under these Terms.
You grant Juryvant a limited right to host, store, process, transmit, display, and use Customer Data solely as reasonably necessary to provide, maintain, secure, support, and improve the Services, and as otherwise permitted by applicable agreements and law.
You represent and warrant that:
- you own or control the necessary rights to the Customer Data
- you have authority to submit and process such data through the Services
- your use of the Services and submission of Customer Data does not violate applicable law, confidentiality obligations, court orders, contractual commitments, or third-party rights
8. Confidentiality and Sensitive Information
Juryvant understands that customers may use the Services in contexts involving confidential, privileged, or highly sensitive information.
While we design the Services to support controlled workflows, you remain responsible for determining what information is appropriate to input, upload, or connect to the platform based on your own legal and professional obligations.
Unless expressly agreed in writing, Juryvant does not warrant that the Services are suitable for every category of regulated, privileged, classified, or highly sensitive information.
9. Acceptable Use
You agree not to:
- use the Services for any unlawful, harmful, fraudulent, or misleading purpose
- use the Services in violation of legal or professional obligations
- upload or submit content you do not have the right to use
- attempt to gain unauthorized access to systems, accounts, or data
- interfere with the integrity, security, or performance of the Services
- reverse engineer, decompile, copy, modify, or create derivative works from the Services except as permitted by law
- use the Services to build or train a competing product or service
- use automated means to scrape, extract, or harvest data from the Services without authorization
- introduce malware, malicious code, or harmful materials into the Services
We may suspend or terminate access if we reasonably believe your use violates these Terms or creates risk to Juryvant, other users, or third parties.
10. Subscription, Fees, and Payment
Access to certain Services may require a paid subscription or separate commercial agreement.
Unless otherwise stated in writing:
- subscriptions are billed on a recurring monthly basis
- fees are due in advance
- all fees are non-refundable except where required by law or expressly stated otherwise
- you authorize Juryvant or its payment processor to charge applicable fees using your designated payment method
- failure to pay may result in suspension or termination of access
Pricing, subscription scope, features, usage limits, onboarding, and support may vary depending on the customer’s plan, configuration, and agreement with Juryvant.
We reserve the right to change fees or billing structure upon reasonable prior notice, to the extent permitted by applicable law and any existing agreement.
11. Trials, Demos, and Beta Features
From time to time, Juryvant may offer demonstrations, pilot access, trial accounts, or beta features.
Unless otherwise stated in writing, such access is provided on an “as is” and “as available” basis, may be modified or discontinued at any time, and may have limited functionality, documentation, support, or security controls.
Juryvant makes no commitment to continue, release, or commercially offer any demo, pilot, trial, or beta feature.
12. Intellectual Property
The Services, including all software, design, interfaces, workflows, functionality, text, graphics, branding, trademarks, technology, and related materials, are owned by or licensed to Juryvant and are protected by intellectual property and other applicable laws.
Except for the limited access rights expressly granted under these Terms, no rights, title, or interest in the Services are transferred to you.
You may not use Juryvant’s name, logo, branding, or trademarks without prior written consent.
13. Feedback
If you provide suggestions, ideas, recommendations, or feedback regarding the Services, Juryvant may use that feedback without restriction or obligation to you, provided that doing so does not identify or disclose your confidential information inappropriately.
14. Third-Party Services
The Services may integrate with, rely on, or interoperate with third-party services, infrastructure, tools, or content providers.
Juryvant is not responsible for the availability, performance, content, accuracy, or practices of third-party services, and use of such third-party services may be subject to separate terms and policies.
15. Availability and Changes
We may modify, update, suspend, or discontinue any part of the Services at any time, with or without notice, subject to any separate written agreement.
We do not guarantee that the Services will always be uninterrupted, error-free, or available at all times.
We may perform maintenance, updates, or changes that temporarily affect access or functionality.
16. Disclaimers
The Services are provided on an “as is” and “as available” basis, to the fullest extent permitted by law.
Juryvant disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, or that the Services will meet your requirements or produce any specific outcome.
Without limiting the foregoing, Juryvant does not warrant that:
- outputs will be complete, accurate, or error-free
- results will be legally sufficient or appropriate for any matter
- the Services will be uninterrupted or secure in all circumstances
- the Services will satisfy any professional or regulatory requirement
- all defects or issues will be corrected
17. Limitation of Liability
To the fullest extent permitted by law, Juryvant and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or opportunities, arising out of or related to the Services or these Terms.
To the fullest extent permitted by law, the total aggregate liability of Juryvant for any and all claims arising out of or related to the Services or these Terms will not exceed the amount paid by you to Juryvant for the Services during the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100), whichever is greater.
These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose.
18. Indemnification
You agree to defend, indemnify, and hold harmless Juryvant and its affiliates, officers, directors, employees, contractors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your use or misuse of the Services
- your Customer Data
- your violation of these Terms
- your violation of applicable law, regulation, or professional obligation
- your infringement or violation of any third-party rights
19. Suspension and Termination
We may suspend or terminate your access to the Services at any time if:
- you violate these Terms
- payment is overdue
- your use creates legal, security, or operational risk
- we are required to do so by law
- we discontinue the Services or relevant offering
You may stop using the Services at any time.
Upon termination, your right to access the Services will cease, but provisions of these Terms that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnity, payment obligations, and dispute-related terms.
20. Privacy
Your use of the Services is also subject to the Juryvant Privacy Policy, which describes how we collect, use, and handle information.
21. Governing Law and Dispute Resolution
Governing law and dispute resolution terms may be specified in the applicable commercial agreement between Juryvant and the customer. Unless otherwise agreed in writing, Juryvant reserves the right to update these Terms following company formation or the adoption of a formal contracting entity.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the website, platform, or other reasonable means.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
23. Entire Agreement
These Terms, together with any applicable subscription agreement, order form, statement of work, privacy policy, or other written agreement between you and Juryvant, constitute the entire agreement between you and Juryvant regarding the Services, unless otherwise expressly stated.
